Partner Programme Terms
1. About the Partner Programme
Effective from 14 September 2026, the AH-S™ Partner Programme has been renamed the Convert77™ Partner Programme. References to the AH-S™ Partner Programme in these Terms include the Convert77™ Partner Programme.
The Convert77™ Partner Programme is a referral programme operated by ASTON H-S Ltd ("ASTON H-S Ltd", "we", "us" or "our").
Convert77™ is a trading name and brand operated by ASTON H-S Ltd. Throughout these Terms, Convert77™ may be used to refer to the Convert77™ brand and, where appropriate, the business and services operated by ASTON H-S Ltd under that brand.
ASTON H-S Ltd is a company incorporated in England and Wales under company number 15866638, with its registered office at ASTON H-S Ltd 124 City Road, London, EC1V 2NX, United Kingdom.
The programme allows partners to introduce businesses, organisations or other prospective clients to Convert77™ where they may benefit from website, digital, branding, conversion, optimisation, strategy or related services provided by Convert77™.
Where an eligible referral becomes a paying client and the applicable conditions in these Terms are satisfied, the partner may receive a referral fee in accordance with their applicable partner tier.
The programme is intended to create a straightforward commercial relationship between Convert77™ and referral partners without requiring partners to manage projects, provide services on behalf of Convert77™ or provide ongoing client support unless separately agreed in writing.
2. Eligibility and Joining the Programme
Individuals and organisations may apply to join the Convert77™ Partner Programme by completing and submitting the Partner Programme form at convert77.com/partners.
Submission of the Partner Programme form is an application to join the programme. Participation is subject to acceptance by Convert77™ and these Terms.
Submission of the form or acceptance as a partner does not guarantee that every referral will qualify for a referral fee. Referrals remain subject to the eligibility, attribution and other conditions set out in these Terms.
Convert77™ may request additional information from a partner where reasonably necessary to administer the programme, process referral fees, verify referrals, comply with legal obligations or address concerns regarding misuse of the programme.
Convert77™ may suspend or terminate a partner's participation in accordance with these Terms where appropriate.
3. Acceptance of These Terms
By expressly accepting these Terms, submitting a referral after being provided with these Terms, or otherwise participating in the programme after receiving these Terms with Convert77™'s agreement, you agree to be bound by these Terms.
You must not submit referrals or otherwise participate in the programme unless you agree to these Terms.
Where Convert77™ separately agrees written commercial terms with a partner, those terms will apply to the extent that they expressly vary or replace provisions of these Terms.
4. Partner Tiers
Convert77™ may operate different partner tiers, including Standard Partner and Strategic Partner arrangements.
Partner tiers may determine the referral fee available to a partner, eligibility for additional programme benefits and any other commercial terms communicated by Convert77™.
The applicable partner tier and referral fee structure may be published by Convert77™ or otherwise communicated to the partner.
Unless otherwise communicated in writing, the published partner tier and referral fee structure applicable when the referral is accepted into the programme will apply to that referral.
Convert77™ may review or change a partner's tier where appropriate, including where the nature, volume or quality of referrals changes.
Any change to a partner's tier will not retrospectively alter referral fees that have already become payable unless otherwise agreed in writing.
5. What Partners Do
A partner may introduce prospective clients to Convert77™ where the partner reasonably believes that the prospective client may benefit from Convert77™ services.
Partners may:
- Identify potential business opportunities.
- Introduce prospective clients to Convert77™.
- Share Convert77™ information with relevant contacts.
- Recommend Convert77™ services where appropriate.
- Use approved Convert77™ partner materials where provided.
Partners are not required to sell Convert77™ services, conduct sales calls, prepare proposals, manage projects or provide technical support unless separately agreed in writing.
6. What Convert77™ Handles
Once a prospective client has been introduced, Convert77™ will generally be responsible for managing the commercial relationship with that prospective client.
This may include:
- Initial communication.
- Consultation and discovery.
- Assessment of requirements.
- Recommendations.
- Preparation of proposals and quotations.
- Contracting and onboarding.
- Project management.
- Service delivery.
- Client communication.
- Invoicing and payment collection.
- Ongoing support where purchased by the client.
Convert77™ retains control over whether it accepts a prospective client and which services, pricing and commercial terms it offers.
7. Valid Referrals
A referral must be a genuine business introduction made in good faith and must provide Convert77™ with sufficient information to identify and contact the prospective client.
A referral may be submitted through the method specified by Convert77™, which may include an introduction by email, a referral link or another approved method.
A referral will generally be considered valid where:
- The prospective client has not already been actively engaged in discussions with Convert77™ regarding the relevant services.
- The prospective client has not already been introduced to Convert77™ by another partner.
- The referral is sufficiently identifiable and can reasonably be attributed to the partner.
- The referral relates to a genuine potential business opportunity.
- The referral is not generated through misleading, unlawful or prohibited activity.
Convert77™ may determine whether a referral qualifies as a valid referral where there is uncertainty or competing attribution, based on the information reasonably available to it.
7A. Opportunity Submission and Referral Records
Unless Convert77™ agrees another method, partners should submit prospective client opportunities by emailing [email protected] or by making a written email introduction that clearly identifies the prospective client and the referring partner.
Information supplied with a referral may be used by Convert77™ to:
- Record and administer referrals.
- Assess prospective opportunities.
- Determine referral attribution.
- Contact prospective clients.
- Manage the sales process.
- Maintain records relating to the Partner Programme.
Submission of an opportunity does not guarantee that:
- The opportunity will be accepted.
- The opportunity will qualify as a valid referral.
- The prospective client will be contacted.
- A referral fee will become payable.
The date and time recorded by Convert77™ when a referral or written introduction is received may be used when determining referral attribution.
Submission of an opportunity does not reserve, guarantee or exclusively assign a prospective client to a partner.
Referral attribution remains subject to these Terms, including the provisions relating to valid referrals, existing contacts, duplicate referrals and attribution.
8. Existing Contacts and Duplicate Referrals
Referral fees are not payable where the prospective client was already an existing Convert77™ client or was already in an active sales, consultation, proposal or project process with Convert77™ before the referral was received.
Where multiple partners refer the same prospective client, Convert77™ may generally attribute the referral to the first valid referral received and recorded by Convert77™.
Where the circumstances make attribution unclear, Convert77™ will determine referral attribution based on the information reasonably available to it, which may include receipt timestamps, communications, introductions and other relevant evidence.
Convert77™'s determination will apply for the purposes of administering the Partner Programme unless a different arrangement is agreed in writing.
9. Referral Fees
Where an eligible referral becomes a paying client, the partner may receive a referral fee based on their applicable partner tier.
Unless otherwise communicated or agreed in writing, the published Standard Partner and Strategic Partner referral rates are:
- Standard Partner: 20% of the Eligible Project Value.
- Strategic Partner: 25% of the Eligible Project Value.
"Eligible Project Value" means the amount actually paid and retained by Convert77™ for eligible Convert77™ services forming part of the initial project, excluding VAT or other applicable sales taxes, refunded amounts, chargebacks, unpaid amounts, third-party costs, pass-through expenses, separately purchased third-party products or services and amounts that do not form part of eligible Convert77™ services.
The referral fee is calculated by applying the partner's applicable percentage to the Eligible Project Value.
For clarity, where an initial project includes third-party costs, pass-through expenses or other excluded amounts, the applicable referral percentage applies only to the eligible net project value retained by Convert77™.
Convert77™ may specify additional exclusions for particular services or commercial arrangements where those exclusions are communicated to the partner before the relevant referral becomes eligible.
10. Recurring Services and Future Work
Unless expressly stated otherwise in writing, referral fees apply only to eligible work attributable to the original referral and do not automatically create an entitlement to fees on all future purchases, renewals or projects undertaken by the referred client.
Convert77™ may, at its discretion, offer referral fees on recurring services, additional projects, renewals or other future work.
Where recurring or future referral fees apply, the applicable duration, percentage and conditions will be communicated to the partner separately.
11. Referral Attribution Window
Unless otherwise agreed in writing, a referral remains eligible for attribution for 180 days from the date on which Convert77™ receives the referral.
If the prospective client becomes a paying client within that 180-day period and all other eligibility conditions are satisfied, the referral may qualify for a referral fee.
Convert77™ may extend the attribution period in particular circumstances at its discretion or where agreed in writing with the partner.
The attribution window does not override provisions relating to existing clients, existing sales activity, duplicate referrals, invalid referrals, fraud or breaches of these Terms.
12. When Referral Fees Become Payable
A referral may become eligible for a referral fee when the applicable eligibility and attribution conditions in these Terms are satisfied.
A referral fee becomes payable only after Convert77™ has received cleared payment from the referred client for the relevant eligible work.
Convert77™ will normally process approved referral fees within 14 days after the fee becomes payable, subject to the partner having provided complete and accurate payment information and subject to any applicable payment threshold.
Convert77™ may delay payment where:
- The client's payment has not cleared.
- The transaction is subject to a refund or dispute.
- The referral attribution is being reviewed.
- Required partner payment information has not been provided.
- There is a reasonable concern regarding fraud, misuse or breach of these Terms.
Convert77™ is not responsible for delays caused by incorrect or incomplete payment information supplied by a partner.
13. Minimum Referral Fee Payment
Convert77™ may defer payment where the total approved referral fees payable to a partner are less than £25.
Where payment is deferred under this provision, the amount may be carried forward and paid when the total approved payable balance reaches £25 or when Convert77™ otherwise determines that payment should be made.
Convert77™ may waive or change this threshold for particular partners or commercial arrangements where agreed in writing.
14. Payment Information and Invoices
Partners must provide accurate and complete payment information reasonably required by Convert77™ to make referral fee payments.
Unless Convert77™ expressly requires an invoice, partners are not required to issue an invoice solely for the purpose of receiving a referral fee.
Where Convert77™ requires an invoice or other documentation before payment, the partner must provide the requested documentation within a reasonable period.
Convert77™ may withhold or delay payment where information or documentation reasonably required to process the payment has not been provided.
15. Refunds, Cancellations and Chargebacks
If a referred client receives a refund, chargeback or other reversal of payment relating to work on which a referral fee has been paid, Convert77™ may recover the corresponding referral fee.
Recovery may be made by deducting the relevant amount from future referral payments or, where necessary, requesting repayment from the partner.
Convert77™ will not pay a referral fee on amounts that it ultimately does not retain.
16. No Guarantee of Client Acceptance or Revenue
Participation in the Convert77™ Partner Programme does not guarantee that any referral will become a client or generate a referral fee.
Convert77™ may decline, postpone or discontinue discussions with any prospective client at its discretion.
Convert77™ does not guarantee any minimum number of referrals, clients, commissions or revenue for any partner.
17. Partner Conduct
Partners must act professionally, honestly and in accordance with applicable law when participating in the programme.
Partners must not:
- Make false or misleading claims about Convert77™.
- Guarantee results on behalf of Convert77™.
- Misrepresent Convert77™ services, pricing or availability.
- Represent themselves as an employee, director, legal agent or authorised representative of Convert77™ unless expressly authorised in writing.
- Enter into contracts on behalf of Convert77™.
- Make commitments or promises on behalf of Convert77™.
- Use deceptive or unlawful marketing practices.
- Generate referrals through spam, fraud or misleading activity.
- Purchase or submit leads solely for the purpose of generating referral fees.
- Use Convert77™ branding or intellectual property outside authorised use.
18. Marketing and Use of Convert77™ Branding
Convert77™ may provide approved information, descriptions, logos, referral links or other resources for use by partners.
Partners may use these materials only for legitimate promotion of the Convert77™ Partner Programme and related services and only in accordance with any instructions provided by Convert77™.
Partners must not alter Convert77™ branding in a way that could create confusion about the relationship between the partner and Convert77™.
Convert77™ may withdraw permission to use its branding or programme materials at any time.
19. Data Protection and Introductions
Partners are responsible for ensuring that they have an appropriate lawful basis and authority to share personal data with Convert77™ when making a referral.
Partners should not provide Convert77™ with unnecessary sensitive personal data or other information that is not reasonably required to make the introduction.
Where reasonably practicable, partners should make introductions transparently, including identifying Convert77™ and explaining that the partner is making an introduction.
Partners must comply with applicable data protection and electronic marketing laws when identifying, contacting or referring prospective clients to Convert77™.
Convert77™ will process personal data received through referrals in accordance with its Privacy Policy and applicable data protection legislation.
Our Privacy Policy is available on the Convert77™ website.
20. Confidentiality
Partners may receive confidential information relating to Convert77™, its clients, prospective clients, pricing, commercial arrangements, systems, processes or other business information.
Partners must not disclose confidential information to third parties unless authorised by Convert77™ or required by law.
This obligation does not apply to information that:
- Is publicly available through no breach of these Terms.
- Was lawfully known to the partner before disclosure.
- Is independently developed without use of confidential information.
- Must be disclosed by law or a competent authority.
Confidentiality obligations continue after participation in the programme ends where the information remains confidential.
21. Intellectual Property
Convert77™ and its licensors retain all rights, title and interest in Convert77™ branding, trademarks, website content, programme materials, systems, documentation and other intellectual property belonging to Convert77™.
Participation in the Partner Programme does not transfer ownership of any Convert77™ intellectual property to a partner.
Partners receive only the limited rights expressly granted to them under these Terms or separately in writing.
22. Relationship Between Convert77™ and Partners
The Partner Programme does not create an employment relationship, partnership, joint venture, franchise, fiduciary relationship or agency relationship between Convert77™ and a partner.
Partners act independently and are responsible for their own business activities, costs, taxes, insurance and legal obligations.
Partners have no authority to bind Convert77™, enter into contracts on its behalf or make representations that Convert77™ has not expressly authorised.
Participation in the Convert77™ Partner Programme is non-exclusive.
Partners may work with other businesses and service providers, provided that doing so does not breach their contractual, confidentiality or legal obligations.
Convert77™ may also work with other partners and may receive referrals for the same or similar services from other sources.
23. Taxes
Partners are responsible for determining and meeting their own tax, reporting, accounting and other financial obligations arising from referral fees they receive.
Convert77™ may request information reasonably necessary to process payments or comply with legal, accounting or tax obligations.
Where Convert77™ is legally required to deduct or withhold an amount from a payment, it may do so.
24. Fraud, Abuse and Invalid Referrals
Convert77™ may investigate referrals where there are reasonable grounds to suspect fraud, manipulation, abuse or a breach of these Terms.
Convert77™ may withhold or cancel referral fees relating to referrals that it reasonably considers to be invalid, fraudulent, misleading, duplicated or otherwise inconsistent with the programme.
Where serious or repeated misuse occurs, Convert77™ may suspend or terminate the partner's participation in the programme.
25. Suspension and Termination
Either Convert77™ or a partner may end the partner relationship at any time by providing written notice.
Convert77™ may suspend or terminate participation immediately where reasonably necessary, including where a partner:
- Breaches these Terms.
- Engages in fraudulent or misleading activity.
- Misuses Convert77™ branding or intellectual property.
- Acts unlawfully in connection with the programme.
- Creates a material reputational or commercial risk for Convert77™.
- Provides materially misleading information to Convert77™.
Following termination, the partner must stop representing themselves as a Convert77™ Partner and stop using Convert77™ partner materials and branding unless Convert77™ expressly permits otherwise.
26. Referral Fees Following Termination
Termination of participation does not automatically remove a partner's entitlement to referral fees that had already become payable before termination.
Unless otherwise agreed in writing, a referral submitted before termination may remain eligible for a referral fee if the prospective client becomes a paying client within 180 days of the date Convert77™ received the referral and the referral otherwise satisfies these Terms.
No referral fee will be payable where the partner's entitlement arose through fraud, deliberate misconduct or a material breach of these Terms.
27. Changes to the Programme
Convert77™ may modify, suspend or discontinue the Partner Programme at any time.
Changes may include amendments to:
- Partner tiers.
- Referral fee structures.
- Eligible services.
- Referral requirements.
- Payment arrangements.
- Partner benefits.
Where a change materially affects an existing partner, Convert77™ will take reasonable steps to communicate the change.
Unless otherwise stated, changes will apply prospectively and will not retrospectively alter referral fees that have already become payable.
28. Availability of the Programme
Convert77™ does not guarantee that the Partner Programme, referral process or associated materials will always be available or uninterrupted.
Convert77™ may temporarily suspend access for maintenance, security, technical issues, business reasons or other circumstances.
29. Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the above, Convert77™ will not be liable to a partner for indirect, incidental, special or consequential loss, loss of opportunity, loss of reputation, loss of anticipated income or loss of business arising from participation in the Partner Programme.
Convert77™ does not guarantee any particular level of referral activity, conversion rate, client acquisition or income through participation in the programme.
30. No Professional or Legal Advice
Information supplied by Convert77™ regarding the Partner Programme is provided for general commercial and administrative purposes and does not constitute legal, tax, accounting or other professional advice.
Partners remain responsible for obtaining their own professional advice where required.
31. Entire Agreement
These Terms, together with any partner-specific commercial terms expressly agreed in writing between Convert77™ and the partner, form the agreement governing participation in the Convert77™ Partner Programme.
Any previous discussions, communications or understandings relating to the programme are superseded to the extent that they conflict with these Terms, unless expressly incorporated into a written agreement.
32. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be modified or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
33. No Waiver
A failure or delay by Convert77™ to exercise any right under these Terms does not constitute a waiver of that right.
34. Governing Law and Jurisdiction
These Terms and any dispute or claim arising from or relating to the Convert77™ Partner Programme are governed by the laws of England and Wales.
Subject to any mandatory legal rights that may apply, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or participation in the Partner Programme.

36. Updates to These Terms
Convert77™ may update these Terms from time to time to reflect changes to the Partner Programme, our business, our services or applicable legal requirements.
When we make material changes, we will update the "Last Updated" date at the top of these Terms and, where appropriate, provide additional notice to existing partners.
Continued participation in the Partner Programme following the effective date of updated Terms constitutes acceptance of the updated Terms, subject to any rights available under applicable law.
